This document is a draft and must be reviewed by a legal professional before launch. The signed agreement governs the actual engagement.
Terms of Engagement (Summary)
This summary describes how working with CLARITY Lab generally runs, so you know what to expect before we talk. Items marked [TBD] have not been decided and will be filled in for the final version.
1. Scope
The scope, features and deliverables of each project are set out in the written quote or agreement. Anything outside that scope is quoted separately.
2. Quotes and payment milestones
- Quotes are written, issued after a discovery conversation, and valid for [TBD].
- Payment milestones: [TBD]% on signing, [TBD]% at mid-project delivery, [TBD]% on acceptance.
- If a payment is overdue, work may pause. Work already completed is still invoiced as agreed.
3. Revisions
Each delivery stage includes [TBD] rounds of revisions. Revisions beyond that number, or beyond the original scope, are quoted separately.
4. Delivery and acceptance
- When work is complete, we deliver it as agreed and ask you to review it.
- The acceptance period is [TBD] days. Issues you raise within it will be corrected under these terms.
- If no objection is raised within the acceptance period, the work is treated as accepted.
5. Warranty
A warranty period of [TBD] days starts at acceptance. During it, errors in what we delivered are fixed at no charge. New features, content changes and problems caused by changes to third-party services are not covered.
6. Maintenance
After the warranty period you may choose a separate monthly maintenance plan (hosting, monitoring, small updates and so on). Its content and price are [TBD] and are agreed in writing.
7. Intellectual property
- Ownership and permitted use of the custom work made for your project are [TBD], and take effect on payment in full under the agreement.
- Third-party materials and open-source components remain under their own licences.
- CLARITY Lab's existing tools, templates, libraries and methods remain ours.
- Text, images, trademarks and data you supply remain yours, and you confirm you have the right to provide them.
8. Portfolio and footer credit
A finished website will carry a "Designed by CLARITY Lab" credit in its footer, and we may show the work (screens and a short description) in our portfolio. We will not publish confidential or personal information about you. You may ask in writing for the credit to be removed or for the work to be left out of the portfolio, and we will act on it within a reasonable time.
9. Termination
Either side may end the engagement by written notice. Work completed to that point is settled according to actual progress. Whether any payment is refunded is handled as set out in the agreement [TBD].
10. Limitation of liability
Our liability for loss arising from the services is capped at the fees you actually paid for the project in question (cap percentage [TBD]). To the extent the law allows, we are not liable for indirect loss, lost profits or lost data. We are not responsible for problems caused by content you supply or by third-party services.
11. Governing law
The laws of the Republic of China (Taiwan) govern, and the [TBD] District Court is the court of first instance. For clients in the United States, the governing law and dispute process are agreed separately.
12. Other
This summary is not a complete contract. If it differs from the agreement we both sign, the signed agreement prevails.
